1. Acceptance of Terms

By accessing or using NudgeQuote (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you ("Customer") and NudgeQuote ("we", "us", "our").

2. Description of Service

NudgeQuote is a software-as-a-service application that integrates with Jobber and other third-party tools to send automated SMS and email follow-ups on estimates and quotes. The Service may evolve over time and features may be added, modified, or removed.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly notify us of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

  • Send messages that violate TCPA, CAN-SPAM, CASL, GDPR, or other applicable laws.
  • Send unsolicited messages to recipients who have not consented to receive them.
  • Transmit unlawful, harassing, defamatory, or fraudulent content.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Interfere with or disrupt the Service or its underlying infrastructure.

5. Customer Data and Consent

You represent and warrant that you have obtained all necessary consents from your customers and contacts before sending automated communications through the Service. You are solely responsible for the content of messages sent and for compliance with all applicable communications laws in the jurisdictions where your recipients reside.

6. Third-Party Integrations

The Service integrates with third-party platforms including Jobber, Resend, and Twilio. Your use of those platforms is governed by their respective terms. We are not responsible for the availability, accuracy, or behavior of third-party services.

7. Fees and Payment

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with at least 30 days notice; changes apply at your next renewal.

8. Intellectual Property

We retain all right, title, and interest in the Service, including all software, trademarks, and content we provide. You retain all right, title, and interest in your Customer Data. You grant us a limited license to use your Customer Data solely to provide and improve the Service.

9. Termination

You may cancel at any time from your account settings. We may suspend or terminate your access if you breach these Terms or use the Service in a way that exposes us to legal or operational risk. Upon termination, your right to use the Service ends immediately.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You will indemnify and hold us harmless from any third-party claims arising out of your Customer Data, your use of the Service, or your breach of these Terms — including claims related to messaging consent and data privacy violations.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, notify you by email. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Delaware.
